NICE Systems [NICE], a provider of intelligent analytic software for voice and video, has agreed to acquire Orsus, a supplier of security management software, for $22 million in cash. The deal would allow NICE to offer a security management platform combined with its analytic capabilities thereby providing customers more comprehensive solutions. Orsus’ Situator open architecture software integrates with an array of security and safety sensors and alerting sources from different vendors, such as video cameras, access control, intrusion sensors, alarm panels, radars and more. “Adding this solution to NICE’s comprehensive security offering is a perfect fit to our strategy of building a unique offering that leverages our core competence in capturing, managing, and analyzing massive amounts of unstructured data, and combing them with state of the art proprietary security technology,” sys Israel Livnat, president of NICE’s Security Group. Orsus’ customers include American Electric Power, the Israel air force, the U.S. National Guard, the Port of Houston Authority, the Virginia Port Authority and others. NICE expects the deal to be dilutive to earnings for the first three quarters of 2010 and then accretive in the fourth quarter. It also expects the acquisition to add several millions of dollars to revenues next year. The deal is expected to close by the end of 2009. Both companies are based in Israel.
