U.S. officials approved Lockheed Martin’s [LMT] acquisition of Sikorsky Aircraft from United Technologies Corp. [UTX], according to a Lockheed Martin report to the U.S. Securities and Exchange Commission on Thursday.

First announced in July, Lockheed Martin entered into a Stock Purchase Agreement with UTC to purchase all of the issued and outstanding equity of Sikorsky and certain affiliated entities (Defense Daily, July 20).

One of the closing conditions of the transaction was the expiration or termination of the waiting period under the Hart-Scott-Rodino Antitrust improvements Act of 1976 (known as the HSR Waiting Period). This waiting period ended at 11:50pm on Sept. 23, Lockheed Martin said.

Regulatory review was also completed in Japan and South Korea. The transaction will not be closed until the conclusion of other regulatory approvals and customary closing conditions.

Lockheed Martin is acquiring Sikorsky Aircraft for $9 billion, adding a helicopter design and manufacturing section to its portfolio. Sikorsky was officially put on the market by UTC following a three-month assessment of what to do with the helicopter company.
